Welcome to Yümmies. These Terms and Conditions ("Terms") govern your access and use of the application, website, content, and services (collectively, the "Platform") made available by Pollwx, S.R.L. ("Yümmies", "We", "Us").

 

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.

 

These Terms constitute a legally binding agreement between you, whether as a Customer, Delivery Partner, or Merchant Partner (collectively "You" or "User"), and Yümmies.

 

BY ACCESSING OR USING THE PLATFORM, EVEN IF YOUR REGISTRATION WAS COMPLETED MANUALLY BY A YÜMMIES REPRESENTATIVE, YOU AGREE TO AND ARE BOUND BY THESE TERMS IN THEIR ENTIRETY. Continued use of the Platform constitutes full and unreserved acceptance of this agreement. If you do not agree with these Terms, you must refrain from accessing or using the Platform.

 

Yümmies reserves the right to modify these Terms at any time and will comply with local regulations, including the registration of such modifications with competent authorities like ProConsumidor, where applicable. Your continued access or use of the Platform after such posting constitutes your consent to be bound by the Terms, as amended.

 


 

SECTION A: GENERAL TERMS (APPLICABLE TO ALL USERS)

 

1. Key Definitions

 

  • Platform: The technological infrastructure (applications and website) operated by Yümmies.

  • Yümmies: The commercial entity Pollwx, S.R.L., Tax ID (RNC) 1-31-36548-5, with its registered address at Av. Lope de Vega 29, Novo Centro, 3rd Floor, Suite C6, Ensanche Naco, 10124, Santo Domingo, Dominican Republic.

  • Customer: A person who uses the Platform to request products.

  • Merchant Partner: A commercial entity (establishment) that offers its products through the Platform.

  • Delivery Partner: An independent contractor who offers delivery services.

 

2. Nature of the Platform

 

You acknowledge that Yümmies is a technology company that operates as an online marketplace. The primary service of Yümmies is that of technological intermediation. Yümmies does not constitute itself as a transportation or logistics company, as it does not directly employ delivery personnel nor does it own the vehicles for carrying out the transport, which is performed by independent Delivery Partners.

 

3. Service Fee

 

The "Service Fee" is a charge applied to all orders placed through the Platform to cover costs associated with the maintenance of the technological platform, order management, and operational support.

 

4. User Accounts

 

  • 4.1. Registration: To use the Platform, you must register for and maintain an active account. You guarantee that all information provided is true, accurate, and up-to-date.

  • 4.2. Verification: Yümmies reserves the right to request additional information or documentation to verify a User's data and to temporarily or permanently suspend those Users whose data could not be confirmed.

  • 4.3. Security: You are responsible for all activity that occurs under your account and for maintaining the security of your credentials. You must notify Yümmies immediately of any unauthorized use.

  • 4.4. Deletion of Customer and Delivery Partner Accounts: Customers can delete their account automatically and instantly by accessing "Main Menu -> My Profile -> Delete My Account" in the mobile application. Likewise, Delivery Partners can delete their account automatically and instantly by accessing "Main Menu -> Delete My Account" in their respective application.

  • 4.5. Deactivation of Merchant Partner Accounts: The accounts of Merchant Partners cannot be deleted, they can only be deactivated. This measure is necessary to maintain the integrity of historical records (customer order history, payment reports, billing). Even if an account is deactivated, the Merchant Partner's information (name, logo, etc.) will remain in internal records and past transaction histories.

 

5. Use by Minors and Restricted Products

 

  • 5.1. Legal Capacity: The Platform is intended for use by individuals over 18 years of age. Yümmies is not responsible for the use of the Platform by a minor; any use must be supervised by and is the sole responsibility of their parents or legal guardians.

  • 5.2. Restricted Products: For the purchase of alcoholic beverages or tobacco products, you declare and warrant that you are over 18 years of age, in accordance with Law 136-03. The Delivery Partner may request the presentation of a valid ID at the time of delivery.

 

6. Rules of Conduct and Security

 

Users are strictly prohibited from violating or attempting to violate the security of the Platform, including: (i) accessing data not intended for such user; (ii) attempting to probe the vulnerability of the system or network; (iii) attempting to interfere with the service by submitting a virus, overloading, or spamming; (iv) impersonating another person or entity; (v) placing false or fraudulent orders. Any violation may result in civil and criminal liability.

 

7. Intellectual Property

 

The Platform and all intellectual and industrial property rights therein are owned by Yümmies. You acknowledge that the reproduction, modification, distribution, commercialization, decompilation, disassembly, use of reverse engineering techniques, or any other means to obtain the source code of the Platform constitutes an infringement of Yümmies' intellectual property rights, and you agree not to perform any of the aforementioned actions.

 

8. Applicable Law and Jurisdiction

 

These Terms shall be governed by the laws of the Dominican Republic. Any dispute shall be submitted to the jurisdiction of the competent courts of Santo Domingo, National District, Dominican Republic.

 


 

SECTION B: ADDITIONAL TERMS FOR CUSTOMERS

 

9. Placing Orders

 

When you place an order, you enter into two separate contracts: (i) a contract for the sale of goods directly with the Merchant Partner, and (ii) a contract for delivery services directly with the Delivery Partner.

  • 9.1. Customer Error: You are solely responsible for the correct entry of the delivery address. If an order cannot be delivered due to an error in the address attributable to you, you will be responsible for the costs incurred.

 

10. Payments

 

You will pay the total price of the order, which includes: (i) the cost of the products, (ii) the "Delivery Fee", and (iii) the "Service Fee". Payment methods may include: cash on delivery, bank transfer, and/or online payments when available.

 

11. Liability

 

The quality and safety of the products are the sole responsibility of the Merchant Partner.

 


 

SECTION C: ADDITIONAL TERMS FOR DELIVERY PARTNERS

 

12. Contractual Relationship

 

Your relationship with Yümmies is reaffirmed as that of an independent contractor.

 

13. Autonomy and Flexibility

 

You have the exclusive right to determine when and where to use the Platform.

 

14. Delivery Partner Obligations

 

  • Equipment and Vehicle: The Delivery Partner is responsible for their vehicle and phone, as well as the costs associated with their maintenance and operation.

  • Thermal Bag: The thermal bag is provided by Yümmies, delivered new at the beginning of the business relationship. The Delivery Partner agrees to return it in good condition, normal wear and tear excepted, upon ending their relationship with the Platform. If it is not returned or has significant damage, the Delivery Partner authorizes Yümmies to deduct the market cost of a new bag at the date of separation from their pending payments.

  • Documentation: You must possess and maintain all valid licenses and insurance required by law to operate your vehicle.

  • Professionalism: You agree to provide services in a professional, safe, and respectful manner.

 

15. Payments and Fees

 

  • Delivery Fees: You will earn a "Delivery Fee" for each completed service.

  • Commission for Technological Intermediation: Yümmies will deduct a commission from the generated Delivery Fee as payment for the use of the platform.

  • Tips: 100% of any tips belong to you.

 


 

SECTION D: ADDITIONAL TERMS FOR MERCHANT PARTNERS (ESTABLISHMENTS)

 

16. Merchant Partner Obligations

 

  • Quality and Responsibility: You are solely responsible for the preparation and quality of your products.

  • Menu Information: You agree to keep your menu and prices updated.

 

17. Payments and Settlements

 

  • Collection: Yümmies will collect payment for orders on your behalf (except for cash on delivery).

  • Service Commission: Yümmies will deduct a previously agreed-upon commission for service from the collected amounts.

  • Settlements: Yümmies will transfer the net funds to you in regular payment cycles or when you manually request it through the Platform.

 

18. Liability and Indemnification

 

You agree to indemnify Yümmies from any claim arising from the quality of your products or your breach of these obligations.

 


 

SECTION E: PROMOTIONS AND COUPONS

 

19. General Conditions

 

Promotions, contests, and coupons implemented through the Platform will be subject to the particular rules and conditions established for each. As a general rule, coupons are for single use, non-cumulative, not redeemable for cash, and will have a specific expiration date.
